The Opportunity
This role is on a hybrid schedule, in office at least a few days a week in our Charlotte, NC or Detroit, MI office.
As the Director of Executive Compensation, you will be responsible for leading Ally’s executive compensation programs and equity administration and be accountable for ensuring that all plans and programs align with business strategy, market practice and internal/external governance requirements. The role includes management of our relationship with our equity administrator and governance and administration of Ally’s shareholder-approved equity plans. You will be responsible for managing reporting and administrative aspects of Ally's equity-based compensation programs and providing support and guidance to participants, leadership, and HR Business Partners on matters impacting executive compensation. This role will report to the Senior Director and requires minimal supervision or direction.
The Work Itself
- Preparation and coordination of the annual proxy CD&A and supporting compensation tables
- Conduct benchmarking activities and drive recommendations and application of best practices in executive compensation and equity administration
- Accountable for executive compensation risk management
- Ensure compliance with SEC rules with respect to the reporting of compensation for NEOs and Section 16 Officers
- Conduct policy reviews and manage special projects, as required
- Respond to ad hoc requests for analysis in support of executive compensation programs
- Prepare CNG Committee meeting materials and prepare the senior executives for meetings with the CNG Committee
- Provide technical advice and counsel for plan documents and award agreements.
- Assist in managing incentive plan design, performance tracking, and communications, as requested
- Ownership of the stock administration function, including accurate and timely recording of transactions and taxation, improvements in processes, implementing enhanced automated solutions, maintaining a robust control environment, and evaluating service providers
- Collaborate with Finance, Accounting, and Legal on management reporting, compliance, grant processes and related requirements
- Partner with internal and external auditors for periodic reviews, year-end audits, as well as ensure that internal controls are in place and procedures are followed to satisfy periodic review of compliance with SOX
The Skills You Bring
- 7+ years compensation experience including some executive comp experience with a publicly traded company
- High School Diploma or GED equivalent required. Bachelor's degree preferred in business and/or analytical studies; Master’s degree recommended.
- CEP or CCP recommended.
- Deep knowledge of compensation design principles, pay governance, proxy disclosure, and compliance requirements.
- Experience with Compensation Committee and proxy material development
- Experience in financial services and banking preferred
- Exceptional analytical skills and attention to detail.
- Ability to effectively organize, analyze, and communicate information using Microsoft Office to tell stories appropriate to various audiences.
- Ability to manage multiple tasks simultaneously.
- Strong listening, oral, and written communication skills.
- Routinely asked to communicate to larger groups on behalf of business unit or function.
- Routinely exhibits a strong work ethic and high degree of self-motivation.
- Occasionally called on to deal with urgent requests that may arise regardless of time of day or day of the week.
- High integrity and discretion in handling confidential information.
